The team has extensive domestic and cross-border transactional experience advising corporates, conglomerates, investors, joint venture partners, shareholders, boards of directors, financial institutions, regulators, and a host of other local, regional and international clients.  The sectors that these clients operate in include oil and gas, banking, finance, telecommunications, fast-moving consumer goods, food, beverage, packaging, brewery, manufacturing health, logistics, insurance, infrastructure, retail, power and agriculture, among many others.

The team routinely advises on mergers, de-mergers, acquisitions, domestic and foreign investments, restructuring, commercial contracts, joint ventures and strategic alliances, equity and asset disposals, employment, foreign investment, due diligence and risk management, governance, including anti-trust, competition, business ethics and anti-corruption issues, and insolvency, among other matters.

Members of the team have been involved in advising the office of the Senate President on the legal and regulatory reforms required to enhance the business environment in Nigeria, including the review of the Nigerian Companies and Allied Matters Act.

Deals

UUBO is pleased to have advised Tangerine Life Insurance Limited and ARM Life PLC on the merger of both companies. The merger is expected to improve the positioning of the Enlarged Tangerine Life Limited in the life insurance sector, creating a stronger player with a larger retail footprint and an increased underwriting capacity.

UUBO’s Mergers and Acquisitions and Private Equity team that advised on this deal was led by our Partner, Ozofu ‘Latunde Ogiemudia and included team members Amina Ibrahim, Faridah Orimobi, Tobechi Nwokocha, Chisom Okolie and Bolaji Odekunle with support from our litigation team members, Olukayode Dada, Chisom Ndubuisi and Titilola Olatunde-Fasogbon.

UUBO team advises on proposed BAXI/Capricorn Digital limited buyout by MFS Africa

We are pleased to have advised Capricorn Digital Limited, one of Nigeria’s larger digital solution providers, on its proposed acquisition by MFS Africa Nigeria Holdings Limited, in one of Nigeria’s largest FinTech acquisition deals. The investment, which is subject to the approval of the Central Bank of Nigeria, will enable both MFS Africa and Baxi/Capricorn to scale their operations extensively and widen their presence in other African countries in line with their shared corporate values of innovation and technical excellence.

The multidisciplinary Nigerian transaction advisory team was led by UUBO M&A and Private Equity team partner, Folake Elias Adebowale, and included @iamujuude, @kelechi.ibe_ , @officially_bond, @dami.ady , @dpobuchi, @debbynotadowner and @iwuozo_k_godson, working with a cross-border group of advisers.

UUBO teams advises lead investor on Flutterwave series D funding round

We are pleased to have advised the lead investor, B Capital Global Growth Fund III, L.P on its participation in the US$250 million Series D Investment in Flutterwave, a leading technology company operating across Africa.

The UUBO transaction advisory team was led by our private equity and M&A team partner, Ozofu ‘Latunde Ogiemudia with support from Temiloluwa Okeowo (senior associate), Bond Eke-Opara, Etido David (both associates) and other members of our private equity, corporate, M&A and FinTech teams. The UUBO team worked with a cross-border group of advisers led by Goodwin Procter.

Flutterwave’s successful Series D fund raise follows its initial US$20 million Series A round of 2018, its US$35 million Series B round in 2019 and its US$170 million Series C round in 2021, and has resulted in a valuation of over US$3 billion making Flutterwave, currently, the highest valued African start-up.

Our transaction team was led by private equity partner, Folake Elias-Adebowale, with specialist input from #power and #finance team partners, Adeola Sunmola and Onyinye Okafor, and principal support from Tobechi Nwokocha, Godson Iwuozo and Aanu Odunaike.

Udo Udoma & Belo-Osagie is pleased to have advised LeapFrog Investments on its strategic investment, with Tana Africa Capital, in Interswitch, one of Africa’s leading technology-driven companies focused on the digitisation of payments. The investment is expected to assist in supporting Interswitch’s drive to advance the payment ecosystem across Africa.

A portion of the investment has been acquired from existing shareholders, with Ignite Holdco Limited, made up of Helios Investment Partners and TA Associates, remaining the largest shareholder in the business following the transaction.
