Ozofu Ogiemudia is a partner in Udo Udoma & Belo-Osagie’s corporate advisory, private equity and mergers & acquisitions teams.

She is recognised as an extremely resourceful and versatile adviser and has advised on various areas of the law including private equity, mergers and acquisitions, corporate and commercial law, corporate restructuring and regulatory compliance, labour and employment and company secretarial practice. She was part of the teams that advised clients such as the Kellogg Company, Verod Capital, OCP Africa, Synergy Capital, the Carlyle Group, and Actis on various investments in Nigeria. She co-heads the firm’s pro bono practice, which, along with law firms from several other jurisdictions, was awarded the 2018 TrustLaw Collaboration Award by the Thomson Reuters Foundation for their work on the 28 Too Many report on female genital mutilation as well as the Lex Mundi Pro Bono Foundation.

Ozofu is the secretary of the Nigerian Bar Association-Section on Business Law (NBA-SBL) and a Vice-Chairperson of the NBA-SBL Committee on Mergers, Acquisitions and Corporate Restructurings. She is the Thematic Lead of the National Assembly Business Environment Roundtable (NASSBER) Regulatory working group that was set up to assist the National Assembly in identifying and improving bills that relate to any aspect of the regulatory environment.

She has been recognised in 2018 -2021 by the International Financial Law Review (IFLR) as one of the IFLR1000 Women Leaders. She is rated as a ‘highly-regarded lawyer’ for her Mergers & Acquisitions, and Private Equity practice by The IFLR1000 in 2019 and 2020, and is recommended as a “National Leader” in Nigeria for her Mergers & Acquisitions and Governance practice by Who’s Who Legal (Nigeria) (2019 and 2021).

Mergers, Acquisitions and Restructuring

UUBO is pleased to have advised Tangerine Life Insurance Limited and ARM Life PLC on the merger of both companies. The merger is expected to improve the positioning of the Enlarged Tangerine Life Limited in the life insurance sector, creating a stronger player with a larger retail footprint and an increased underwriting capacity.

The UUBO Corporate Advisory team is pleased to have advised Restaurant Brands International, the New York and Toronto listed company which owns some of the world’s most prominent restaurant brands including BURGER KING®️, on its franchise arrangement for the BURGER KING®️ brand in Nigeria, which has led to the entry of the BURGER KING®️ restaurant brand into the Nigerian market and widening of the brand’s presence in Africa.

UUBO teams advises lead investor on Flutterwave series D funding round

We are pleased to have advised the lead investor, B Capital Global Growth Fund III, L.P on its participation in the US$250 million Series D Investment in Flutterwave, a leading technology company operating across Africa.

The UUBO transaction advisory team was led by our private equity and M&A team partner, Ozofu ‘Latunde Ogiemudia with support from Temiloluwa Okeowo (senior associate), Bond Eke-Opara, Etido David (both associates) and other members of our private equity, corporate, M&A and FinTech teams. The UUBO team worked with a cross-border group of advisers led by Goodwin Procter.

Flutterwave’s successful Series D fund raise follows its initial US$20 million Series A round of 2018, its US$35 million Series B round in 2019 and its US$170 million Series C round in 2021, and has resulted in a valuation of over US$3 billion making Flutterwave, currently, the highest valued African start-up.
